1. Definitions

• "Platform" means the website HeroHtx.com, its subdomains, and any associated mobile-optimised pages.
• "HeroHtx", "we", "us", "our" means HeroHtx India, the independent entity operating this Platform, registered at India.
• "User", "you", "your" means any person who accesses or uses the Platform.
• "Showroom Partner" means an authorised Hero MotoCorp dealership or service centre listed on the Platform.
• "Test ride" means a supervised, pre-arranged ride of a Hero motorcycle or scooter at a Showroom Partner's premises.
• "Listing" means a model page or outlet page published on the Platform.
• "RCS" means Rich Communication Services, a messaging protocol used to deliver interactive business messages to your mobile device.
• "Hero MotoCorp" means Hero MotoCorp Ltd., the Indian two-wheeler manufacturer. Hero MotoCorp is not affiliated with HeroHtx India and is not a party to these Terms.

2. Acceptance of Terms

These Terms & Conditions, together with our Privacy Policy, constitute a binding agreement between you and HeroHtx India under the Indian Contract Act 1872 and the Information Technology Act 2000.

By accessing the Platform, submitting an enquiry form, booking a test ride, or communicating with us via phone, email, WhatsApp or SMS, you confirm that you have read, understood and agree to these Terms. If you are accessing the Platform on behalf of a business or organisation, you represent that you have authority to bind that entity.

3. What the Platform Provides

HeroHtx.com is an independent information and lead-generation marketplace. We are not an OEM, an authorised dealer, a financial institution or a motor vehicle registrar. Specifically:

• We list specifications, features and categorisation of Hero motorcycles and scooters as published by Hero MotoCorp or derived from their official materials.
• We publish a directory of Hero showrooms and authorised service centres.
• We facilitate test-ride enquiries by connecting users with the nearest listed Showroom Partner.
• We do not sell vehicles, spare parts, accessories, insurance or finance products.
• We do not set, negotiate or represent prices. Vehicle pricing is determined solely by Hero MotoCorp and individual dealerships.

The Platform is an information resource only. Any transaction — purchase, service booking, finance application, insurance purchase, exchange valuation — takes place between you and the Showroom Partner or their financial partners, governed by their own terms.

4. Eligibility

To use the Platform you must:

• Be at least 18 years of age.
• Be capable of entering into a legally binding contract under the Indian Contract Act 1872.
• Provide accurate, truthful and complete information when submitting an enquiry or booking a test ride.

To conduct a test ride at a Showroom Partner's premises, you must additionally hold a valid Indian driving licence for the class of vehicle you wish to test. Verification of licence validity is the responsibility of the Showroom Partner at the time of the ride.

Use of the Platform by persons under 18 is not permitted. If we become aware that a minor has submitted an enquiry, we will delete the associated data.

5. Enquiries & Test-Ride Bookings

When you submit an enquiry or test-ride request through the Platform:

• You authorise us to share your name, mobile number and model interest with the single Showroom Partner closest to the city you specified.
• You understand that the Showroom Partner, not HeroHtx, will contact you to confirm availability, date and time.
• You agree to receive a follow-up call or message from the Showroom Partner within a reasonable time, and from HeroHtx to confirm the referral.
• Submission of an enquiry does not constitute a reservation, purchase order or any legally binding commitment to buy a vehicle.
• You must not submit false, misleading or duplicate enquiries. Misuse of the enquiry system may result in suspension of your access to the Platform.

6. Test-Ride Terms

Test rides are conducted at the premises of Showroom Partners and are governed by the Showroom Partner's own terms and conditions. The following apply in addition:

6.1 Eligibility

You must hold a current, valid Indian driving licence for the vehicle class you wish to test. The Showroom Partner will verify your licence before the ride. If you cannot produce a valid licence, the ride will be refused.

6.2 Declaration

You will be required to sign a test-ride declaration form at the Showroom Partner's premises. This form acknowledges that you are riding at your own risk and that you are aware of the vehicle's characteristics and local traffic conditions.

6.3 Supervision & Route

Test rides are conducted within a route and duration specified by the Showroom Partner. You must follow the instructions of the showroom representative accompanying you. Deviation from the agreed route or attempt to take the vehicle off-premises without authorisation is prohibited.

6.4 Damage & Liability

You are responsible for any damage caused to the test vehicle during the test ride as a result of your negligence or breach of the test-ride declaration. HeroHtx India is not a party to the test-ride arrangement and accepts no liability for injury, damage or loss arising during or after a test ride.

6.5 Insurance

Test vehicles are insured by the Showroom Partner. However, any loss or damage not covered by the Showroom Partner's policy as a result of your negligence may be recovered from you by the Showroom Partner under their terms.

6.6 Cancellation

Test rides may be cancelled by you or the Showroom Partner. No booking fee is charged through HeroHtx.com, so no refund is applicable. If the Showroom Partner cancels, please contact us and we will assist in rebooking.

7. Showroom & Service Listings

Outlet information (name, address, phone number, hours, services) on the dealers page is provided for informational purposes. We take reasonable steps to keep it current, but we do not guarantee its accuracy at any given time. Hours may vary on public holidays. Services listed may not be available at all times.

HeroHtx India is not responsible for the quality, safety, timing or outcome of any service or repair carried out by a listed Showroom Partner. Any dispute about a service or repair must be resolved directly with the Showroom Partner and, if necessary, through Hero MotoCorp's authorised dealer dispute mechanism.

Inclusion of a showroom or service centre in our directory does not constitute an endorsement by HeroHtx India, nor does it imply a commercial relationship beyond the listing.

8. No Pricing — Disclaimer

HeroHtx.com does not publish vehicle prices. Two-wheeler prices in India vary by state, dealer offers, exchange value, insurance bundling, and government subsidies (particularly for electric vehicles). A published price is almost always inaccurate for your specific situation.

For accurate on-road pricing, please contact the Showroom Partner directly or visit the Hero MotoCorp official website. Any price quoted to you by a Showroom Partner is between you and that dealer and does not involve HeroHtx India.

Specifications listed on the Platform (engine displacement, claimed mileage, kerb weight) are indicative and may vary by variant, state and model year. We accept no liability for decisions made on the basis of specifications published on this Platform without independent verification.

9. Intellectual Property

9.1 Our Content

All original content on the Platform — including the design system, layout, copy, code, and the arrangement of listings — is the property of HeroHtx India and is protected under the Indian Copyright Act 1957. You may not reproduce, distribute, modify or create derivative works from any part of the Platform without our prior written permission.

9.2 Hero MotoCorp Trademarks

The names Hero, Splendor, Glamour, Xtreme, Xpulse, Karizma, Mavrick, Xoom, Vida and other Hero product names are registered trademarks of Hero MotoCorp Ltd. We use these names solely to identify the vehicles listed on the Platform, in accordance with nominative fair use under Indian trademark law. We make no claim of affiliation with or endorsement by Hero MotoCorp Ltd.

9.3 User Content

If you submit content to us (e.g., a message in the enquiry form), you grant HeroHtx India a non-exclusive, royalty-free licence to use that content to process your enquiry and improve the Platform. You retain ownership of content you submit.

10. User Conduct & Prohibited Uses

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. The following are prohibited:

Breach of this clause may result in immediate termination of your access to the Platform and may be reported to the relevant law enforcement authorities.

11. RCS Messaging & WhatsApp Terms

HeroHtx India operates an RCS (Rich Communication Services) business messaging bot and a WhatsApp Business account. By opting in to our messaging programme, you agree to the terms set out in this section.

11.1 Opt-In Consent

You must explicitly opt in before we send you any promotional or marketing message. Opt-in methods include: (a) ticking the consent checkbox on the enquiry form on our website; (b) texting START to our business number; or (c) verbally at a Showroom Partner, confirmed by signature on a consent form. Opt-in is not a condition of submitting a general enquiry.

11.2 Message Types

We send two categories of messages:

• Transactional messages — test-ride confirmations, service appointment reminders and booking updates. These are sent only when triggered by an action you have taken.
• Promotional messages — new Hero model launches, showroom offers and events. These require explicit opt-in and can be opted out of independently.

11.3 Opt-Out

Reply STOP to any message at any time to unsubscribe from all messages immediately. Reply STOP PROMO to unsubscribe from promotional messages only while keeping transactional messages active. Opt-outs take effect within 24 hours of receipt.

11.4 Message Frequency

Promotional messages: maximum 4 per calendar month. Transactional messages: sent only as triggered by bookings or service appointments, with no fixed limit.

11.5 Message and Data Rates

Standard message and data rates charged by your mobile network operator may apply to messages you receive from or send to us. HeroHtx India does not levy any additional charge for messages sent through our programme.

11.6 Prohibited Bot Uses

Our RCS / WhatsApp bot will not, under any circumstances, request payment card details, OTPs, Aadhaar numbers, passwords or any other sensitive personal or financial information. Any message purporting to be from HeroHtx that requests such information is fraudulent. Do not respond to it and report it immediately to saket@herohtx.com.

11.7 Interaction Logs

We retain logs of all messages sent and received through our messaging programme for 12 months from the date of the last interaction. These logs are used solely for opt-out compliance, dispute resolution and regulatory audit. They are not shared with any third party, including aggregators, except where required to deliver the messaging service.

11.8 TRAI Compliance

All SMS and RCS communications comply with the Telecom Regulatory Authority of India's (TRAI) Unsolicited Commercial Communication regulations, applicable DLT (Distributed Ledger Technology) registration requirements, and any TRAI directives in force from time to time.

12. Limitation of Liability

To the fullest extent permitted by applicable Indian law:

• HeroHtx India provides the Platform on an "as is" and "as available" basis without warranty of any kind, express or implied.
• We do not warrant that the Platform will be uninterrupted, error-free or free of viruses or harmful code.
• We do not warrant the accuracy, completeness or fitness for purpose of any specification, listing or outlet information published on the Platform.
• We are not liable for any direct, indirect, incidental, consequential or punitive damages arising from your use of the Platform or from any transaction between you and a Showroom Partner.
• We are not liable for any loss or damage arising from a test ride, including personal injury, property damage or loss of life, which is governed exclusively by the arrangement between you and the Showroom Partner.
• Our aggregate liability to you for any claim arising from these Terms shall not exceed ₹5,000 (Indian Rupees five thousand).

13. Indemnity

You agree to indemnify and hold harmless HeroHtx India, its directors, employees and agents from and against any claim, liability, damage, loss or expense (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms or the Privacy Policy.
• Your violation of any applicable law or third-party right.
• Your use of the Platform, including any enquiry, test-ride booking or communication submitted by you.
• Any false, inaccurate or misleading information you provide.

14. Third-Party Services & Links

The Platform contains links to third-party websites and services, including:

• Google Maps — for showroom directions. Use of Google Maps is subject to Google's Terms of Service and Privacy Policy.
• Hero MotoCorp's official website — for official product information and pricing.
• Google Analytics — for anonymous traffic analysis.

We are not responsible for the content, accuracy or privacy practices of any third-party website. Linking to a third-party site does not constitute an endorsement. We recommend reading the terms and privacy policy of any third-party site before using it.

Showroom Partners are independent third parties. HeroHtx India has no control over their service quality, pricing, conduct or compliance with law. Any dispute with a Showroom Partner must be resolved directly with them.

15. Termination of Access

We reserve the right to suspend or terminate your access to the Platform at any time, without notice, if:

• You breach any provision of these Terms.
• We determine that your use of the Platform is fraudulent, abusive or harmful to other users or Showroom Partners.
• We are required to do so by law or by a government or regulatory authority.

Termination of access does not affect any legal rights or obligations that arose before termination.

16. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act 1872, the Information Technology Act 2000, the Consumer Protection Act 2019 and the Digital Personal Data Protection Act 2023.

Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation. If not resolved within 30 days, either party may refer the dispute to the courts of competent jurisdiction in India, India, which shall have exclusive jurisdiction.

Nothing in this clause prevents either party from seeking emergency injunctive relief in any court of competent jurisdiction.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last updated" date at the top of this page.
• Displaying a notice on the homepage for at least 30 days.
• Sending a notification by email or SMS if you are a registered enquirer and the change materially affects your rights.

Continued use of the Platform after the effective date of revised Terms constitutes acceptance of the changes. If you do not accept the revised Terms, you must stop using the Platform.
